Management and the board of directors are pleased to announce that on April 17, 2009,
Quetzal Energy Inc. and Southampton Ventures Inc . successfully completed a business combination and CA $4,000,000 subscription receipt offering. (See

News Release). This new combination plus the
additional capital raised will allow the new
company to continue its focus on increasing
Quetzal’s proved and probable petroleum reserves
in Guatemala and to broaden its activities to
include the cultivation of developed base metal
mining projects. |

Amalgamation
On April 16, 2009 Southampton Ventures and
Quetzal Energy Inc. completed an amalgamation
Quetzal Energy Ltd. is a petroleum development
and mineral exploration company with petroleum
projects in Guatemala and mineral projects in
Canada and Africa.

The Companies
Southampton was incorporated under the OBCA
under the name “Newcastle Ventures Inc.” by
articles of incorporation dated October 15,
2004. Articles of amendment changing the name of
Southampton to “Southampton Ventures Inc.” were
filed on February 11, 2005.
Newco was incorporated under the OBCA on
March 3, 2009 as a wholly-owned subsidiary of
Southampton, for the sole purpose of effecting
the Amalgamation. The registered and head
office of Newco is located at 130 King Street
West, Suite 2500, Toronto, Ontario, Canada M5X
1A9.
